1. ACCEPTANCE OF TERMS

1.1 Nature of Agreement

These Terms of Service constitute general terms and conditions applicable to all users of the Service. Where a specific Services Agreement has been executed between Dossiers and the User, the terms of such Services Agreement may override or supplement these general Terms of Service as specified therein.

1.2 Initial Acceptance

By accessing or using Dossiers' Anti-Money Laundering screening services ("Service"), you ("User," "Customer," or "you") agree to be bound by these Terms of Service ("Terms"). If you are accessing the Service on behalf of a financial institution or other entity, you represent that you have the authority to bind such entity to these Terms.

1.3 Ongoing Acceptance

By accessing or using the Service, you agree to be bound by the current version of these Terms of Service. When we modify these Terms, your continued agreement will be sought through the explicit consent process described in Section 10.

1.4 Rejection of Terms

If you do not agree to these Terms, you may not use the Service.

2. SERVICE DESCRIPTION

2.1 Overview

Dossiers provides anti-money laundering screening services designed to help financial institutions identify and screen for:

  • Sanctioned individuals and entities
  • Politically Exposed Persons (PEPs)
  • Other high-risk customers as defined by regulatory guidelines
  • 2.2 Decision Support Tool

    IMPORTANT:

    Dossiers is a decision support tool only. We provide screening results and access to primary sources, but the final determination regarding customer risk assessment, compliance decisions, and regulatory obligations remains solely with the User.

    2.3 Data Sources

    Our Service relies on publicly available datasets. We provide access to the primary sources used in our screening process to enable Users to conduct their own independent evaluation of the results.

    3. USER RESPONSIBILITIES AND OBLIGATIONS

    3.1 Compliance Responsibility

    User acknowledges and agrees that:

  • Final compliance decisions rest solely with the User
  • User must conduct independent verification of all screening results
  • User remains responsible for meeting all applicable regulatory requirements
  • User must implement appropriate policies and procedures for AML compliance
  • 3.2 Authorized Use

    User agrees to:

  • Use the Service only for legitimate AML screening purposes
  • Ensure authorized personnel access the Service
  • Maintain the confidentiality of account credentials
  • Comply with all applicable laws and regulations
  • 3.3 Prohibited Uses

    User shall not:

  • Use the Service for unlawful purposes
  • Attempt to reverse engineer or duplicate the Service
  • Share account access with unauthorized third parties
  • Use screening results for discriminatory purposes prohibited by law
  • 4. DATA HANDLING AND PRIVACY

    4.1 Search Logging

    No Search Logging: We do not log or retain records of individual searches conducted through our Service, except when Users voluntarily report issues with search results for technical support purposes.

    4.2 Screening Alerts

    Batch Screening Storage: We store "Screening Alerts" generated through our batch screening feature. Users maintain full control over these alerts and may permanently delete them at any time after review.

    4.3 Data Retention

  • Individual searches: Not retained
  • Voluntarily reported issues: Retained only for technical support resolution
  • Screening Alerts: Retained until User deletion
  • Account information: Retained per standard business practices
  • 4.4 Data Use and Analytics

    We may use aggregated, anonymized usage data to:

  • Improve Service performance and functionality
  • Develop new features and capabilities
  • Monitor system health and security
  • Generate industry insights that do not identify specific Users or searched individuals
  • 4.5 Data Security

    We ensure data security through a privacy-by-design approach that limits the amount of data we store on our customers' behalf. By minimizing data retention and avoiding the storage of personally identifiable information from searches, we reduce potential security exposure while maintaining service functionality. We also implement reasonable technical and administrative security measures to protect any data we do retain, but User acknowledges that no system is completely secure.

    5. DISCLAIMERS AND LIMITATIONS

    5.1 Service Availability

    While we strive for high availability, we do not guarantee uninterrupted access to the Service. Scheduled maintenance and technical issues may cause temporary service disruptions.

    Scheduled Maintenance: For planned maintenance windows expected to last more than 30 minutes, Users will receive at least 3 days advance notice via email to the registered account address.

    5.2 Data Accuracy and Source Availability

  • We rely on publicly available datasets that may contain inaccuracies
  • We do not warrant the completeness or accuracy of screening results
  • Original source materials may be modified or removed by their publishers after our retrieval
  • Archived content represents information as it existed at the time of retrieval and may differ from current versions
  • Users must independently verify all results before making compliance decisions
  • 5.3 Regulatory Compliance

    We do not provide legal or compliance advice. Users are responsible for determining how screening results apply to their specific regulatory obligations.

    6. LIMITATION OF LIABILITY

    6.1 Disclaimer of Warranties

    THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

    6.2 Limitation of Damages

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOSSIERS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Lost profits, revenue, or business opportunities
  • Regulatory penalties or fines
  • Decisions made based on screening results
  • 6.3 Maximum Liability

    In no event shall Dossiers' total liability exceed the amount paid by User for the Service in the twelve (12) months preceding the claim.

    7. INDEMNIFICATION

    User agrees to indemnify, defend, and hold harmless Dossiers from any claims, damages, losses, or expenses arising from:

  • User's use of the Service
  • Compliance decisions made by User
  • User's violation of these Terms
  • User's violation of applicable laws or regulations
  • 8. ACCOUNT TERMS

    8.1 Account Setup

    Users must provide accurate account information and maintain current contact details.

    8.2 Suspension and Termination

    We may suspend or terminate accounts for:

  • Violation of these Terms
  • Non-payment of fees
  • Suspected fraudulent or illegal activity
  • Extended periods of inactivity
  • 8.3 Termination Notice and Data Export

    Written Notice: Prior to account termination (including termination due to rejection of modified Terms), we will provide written notice to the User via email to the registered account address with at least thirty (30) days advance notice. Data Retention Notice: The termination notice will include a comprehensive notice about all data retained in the User's account and provide detailed instructions on how to export such data before account closure. Export Opportunity: Users will be given the full thirty (30) day notice period to export any data from the system, including active Screening Alerts, search history (if any), and relevant archived materials, before account closure. Terms Rejection: Users who reject modified Terms will receive the same termination notice and data export opportunities, with Service continuing under existing Terms until the end of their current subscription period.

    8.4 Effect of Termination

    Upon termination:

  • Access to the Service will cease
  • Any data not exported by the User will be permanently deleted after the notice period as specified in the applicable Services Agreement between the parties or, if no Services Agreement exists, after thirty (30) days
  • Outstanding fees remain due and payable
  • 9. INTELLECTUAL PROPERTY

    9.1 Service Rights

    Dossiers retains all rights, title, and interest in the Service, including software, algorithms, and methodologies.

    9.2 User Data

    User retains rights to data they input into the Service, subject to our right to use such data to provide the Service.

    10. MODIFICATIONS

    10.1 Notice of Changes

    We may modify these Terms of Service from time to time. When we make material changes to these Terms, we will:

  • Provide written notice to Users via email to the registered account address
  • Post the updated Terms on our website with clear indication of changes
  • Provide at least thirty (30) days advance notice before the changes take effect
  • 10.2 User Consent Required

    Explicit Consent: Material changes to these Terms will require your explicit consent to continue using the Service. You may provide consent by:
  • Clicking "Accept" or similar affirmative action when prompted upon logging into the Service
  • Responding affirmatively to our notification email
  • Continuing to use the Service after the thirty (30) day notice period (which will constitute implied consent)
  • 10.3 Right to Reject Changes

    If you do not agree to the modified Terms:

  • You may reject the changes by notifying us in writing within the thirty (30) day notice period
  • Your Service access will continue under the existing Terms until your current subscription period expires
  • No new charges will be applied under the modified Terms
  • You will have the opportunity to export your data as described in Section 8.3
  • 10.4 Non-Material Changes

    Minor, non-material changes (such as corrections to contact information, clarifications that do not alter User rights or obligations, or updates required by law) may be made without explicit consent, but Users will still be notified of such changes.

    10.5 Emergency Changes

    In cases where immediate changes are necessary for security, legal compliance, or to prevent harm to the Service or Users, we may implement changes with shorter notice periods, but will seek retroactive consent and offer the same rejection rights described in Section 10.3.

    10.6 Continued Service

    Users who provide explicit consent to modified Terms will continue to receive Service under the new Terms. The updated Terms will apply to all future use of the Service.

    11. GOVERNING LAW

    These Terms shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, without regard to conflict of law principles.

    12. DISPUTE RESOLUTION

    All disputes and/or disagreements arising out of or in connection with these Terms or any amendment thereto shall in the first instance be settled amicably. In the event the parties hereto fail to reach an amicable settlement, disputes and/or disagreements shall be settled by a relevant court of law in the Republic of Sri Lanka.

    13. ENTIRE AGREEMENT

    13.1 General Terms

    These Terms constitute the general terms and conditions for use of the Service.

    13.2 Services Agreements

    Where a separate Services Agreement has been executed between the parties, the terms of such Services Agreement shall take precedence over these general Terms of Service to the extent of any conflict or inconsistency. These Terms of Service shall continue to apply to all matters not specifically addressed in the Services Agreement.

    13.3 Hierarchy of Documents

    In the event of any conflict between documents, the following order of precedence shall apply:

  • Executed Services Agreement (if any)
  • These Terms of Service
  • Any other prior agreements or understandings (which are hereby superseded)
  • 14. SEVERABILITY

    If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
